ZenPilot Reports Terms of Service

Effective date: October 13, 2026 · Version 2.2

1. Agreement to these Terms

These Terms of Service (“Terms”) are a contract between DoInbound, LLC d/b/a ZenPilot (“ZenPilot,” “we,” “us”) and the customer using ZenPilot Reports (“you”). By creating an account, accepting an invite, connecting a ClickUp Workspace, or otherwise using the Service, you agree to these Terms. If you use the Service on behalf of a company or other entity, you agree on its behalf and confirm you have authority to bind it, and “you” means that entity. If you don’t agree, don’t use the Service.

2. Definitions

  • “Service”: ZenPilot Reports at reports.zenpilot.com, including its websites, apps, APIs, AI Features, and related support.
  • “Organization”: your account in the Service, connected to one ClickUp Workspace.
  • “ClickUp Workspace”: the ClickUp workspace you connect to an Organization.
  • “End Users”: your employees, contractors, and others you invite or allow to use the Service under your Organization.
  • “Customer Data”: data you or your End Users submit to or sync into the Service, including data from your ClickUp Workspace (time entries, tasks, lists, folders, spaces, member names and emails), the rates, costs, projects, expenses, and receipts you enter, and AI inputs and Output.
  • “Output”: content generated by AI Features.
  • “Aggregated Data”: data derived from use of the Service and Customer Data, de-identified and combined with data from other customers so it doesn’t identify you, your clients, or any individual.
  • “Plan”: the subscription tier for an Organization, with the features and limits shown on our pricing page, in the app, or in an Order Form.
  • “Order Form”: a written order accepted by both parties (for example, for an Enterprise Plan) that references these Terms.
  • “Team Members”: members of your ClickUp Workspace whose tracked time is synced into the Service. Team Members count toward Plan limits whether or not they sign in to the Service.

3. The Service

The Service connects to your ClickUp Workspace and turns time tracking data, plus the rates, costs, and projects your team enters, into reporting on profitability, utilization, projects, and related metrics. Reports are only as complete and accurate as the data in your ClickUp Workspace and your team’s inputs. The Service, including reports, insights, and Output, is for informational purposes only and is not financial, accounting, tax, legal, or employment advice. You’re responsible for decisions you make with it.

Subject to these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, non-sublicensable right during your subscription for you and your End Users to use the Service for your internal business purposes.

4. Eligibility and business use

The Service is for business and professional use only. You and each End User must be at least 18. You confirm you’re not located in, or owned or controlled from, a country or territory subject to comprehensive U.S. sanctions, or on any U.S. restricted-party list, and you won’t use the Service in violation of export control or sanctions laws.

5. Accounts, Organizations, and End Users

You must provide accurate account information, keep your sign-in methods secure, and tell us promptly about any unauthorized use. You’re responsible for all activity under your accounts and Organization, and for your End Users’ compliance with these Terms. Organization owners and admins control who joins, what roles and permissions members receive (including access to financial data), and removing access for people who leave your company.

6. Your data

6.1 Ownership. As between you and us, you own Customer Data, including reports and Output generated from it.

6.2 Our use. You grant us a non-exclusive, royalty-free license to host, copy, process, transmit, and display Customer Data only as needed to provide, maintain, secure, and support the Service for you, as described in our Privacy Policy and DPA. We don’t sell Customer Data.

6.3 Aggregated Data. We may create Aggregated Data and use it to operate, analyze, and improve the Service and to create and publish benchmarks and industry insights. Aggregated Data is ours. We will never publish or share it in a form that identifies you, your clients, or any individual.

6.4 Your responsibilities. You confirm you have the rights and authority to connect your ClickUp Workspace and to submit Customer Data, including your team members’ personal data, and that doing so doesn’t violate any law, contract, or third-party right.

6.5 Data windows. Each Plan includes a data window: how far back synced ClickUp detail is kept. Synced detail older than your window is removed on a recurring schedule; calculated historical totals are not affected. When your Plan changes for any reason, including a downgrade, cancellation, or failed payment, reports and syncing follow the new window right away, and we wait at least 30 days before removing detail outside it. Downgrading can permanently remove detail from the Service, and we’re not responsible for that loss. If you upgrade later, older history re-syncs from your ClickUp Workspace on a later sync, to the extent ClickUp still has it. Data you enter only in the Service (rates, costs, expenses, receipts) doesn’t exist in ClickUp, so keep your own copies.

6.6 Deletion. Organization owners can permanently delete an Organization and its Customer Data from within the app. Deletion from our live systems is immediate and can’t be undone; residual copies in backups are deleted within 30 days. Switching an Organization to a different ClickUp Workspace also permanently removes that Organization’s existing data, including data you entered in the Service.

7. AI Features

If we offer features that use AI models provided by third parties (“AI Features”), this Section applies to them.

  • Output is generated automatically, may be inaccurate or incomplete, and may resemble output generated for others. Review it before relying on it. It supports your team’s judgment and doesn’t replace it.
  • Don’t use Output as the sole basis for decisions with legal or similarly significant effects on individuals, such as hiring, firing, compensation, or discipline.
  • Inputs and Output are Customer Data. We send AI providers only what’s needed to generate Output. We don’t use Customer Data to train AI models, and we don’t allow our AI providers to.

8. Acceptable use

You won’t, and won’t let anyone else:

  • use the Service unlawfully or to infringe or violate others’ rights;
  • bypass or probe role permissions, Plan limits, rate limits, or other access or security controls;
  • reverse engineer or try to extract source code, except where the law expressly allows;
  • scrape at abusive volume, overload, or disrupt the Service;
  • upload malware or unlawful, infringing, or harmful files, including through expense receipts;
  • share credentials or let anyone other than your End Users access the Service;
  • resell, sublicense, or white-label the Service without a written agreement with us; or
  • use the Service to build or benchmark a competing product.

9. Plans, fees, and billing

9.1 Limits. Plan features and limits (data window, Team Members, clients, projects, and sync frequency) are shown on our pricing page or in the app. When you reach a limit, you can’t add beyond it until you upgrade or reduce usage. For example, you can’t add Team Members over your cap, and time for people who aren’t added as Team Members won’t sync.

9.2 Billing and renewal. Paid Plans are billed in advance, monthly or annually, through our payment processor, and renew automatically for the same period at the then-current price unless you cancel before renewal. You authorize us to charge your payment method for all fees.

9.3 Upgrades, downgrades, and cancellation. Upgrades take effect immediately, with a prorated charge for the rest of the current billing period. Downgrades and cancellations take effect at the end of the current billing period, and you keep your current Plan until then. When a paid Plan ends, your Organization moves to the Free Plan; it is not deleted.

9.4 Refunds. Fees are non-refundable, including for partial periods, unused features, and downgrades, except where the law requires or these Terms say otherwise.

9.5 Failed payments. If a payment fails, we’ll notify the Organization owner, who has 3 days to fix it. If payment still hasn’t succeeded, we may move the Organization to the Free Plan, and we’ll restore the paid Plan once payment succeeds. Fees under an Order Form are due as stated there; overdue amounts may accrue interest at 1.5% per month or the maximum legal rate, whichever is lower.

9.6 Price changes. We’ll give at least 30 days’ notice of price increases by email or in the app. Increases take effect at your next renewal. This applies to all subscriptions, including legacy or promotional pricing.

9.7 Taxes. Fees exclude taxes. You’re responsible for applicable taxes other than taxes on our income.

10. Beta, pilot, and early access

Features marked beta, preview, or early access, and the Service during a beta or pilot program, may change, be interrupted, or be discontinued, and come with no support or availability commitments. When a beta or pilot program ends, we’ll give at least 30 days’ notice. After that, your Organization moves to the Free Plan unless you choose a paid Plan. Beta pricing or discounts apply only as agreed with you in writing.

11. Third-party services

The Service works with third-party services such as ClickUp, Google, and Stripe. Their own terms govern your use of them, and we aren’t responsible for them. Integrations depend on those providers’ APIs and policies, which can change, so we don’t guarantee any integration stays available or works the same way. By connecting a third-party service, you authorize us to exchange data with it as needed to provide the Service.

12. Our intellectual property and feedback

We and our licensors own the Service, including its software, design, and Aggregated Data, and all related intellectual property. No rights are granted beyond those expressly stated in these Terms. If you send us feedback or suggestions, we may use them freely with no obligation to you.

13. Confidentiality

“Confidential Information” is non-public information one party shares with the other that is marked confidential or that a reasonable person would understand to be confidential. Customer Data is your Confidential Information. The receiving party will use it only to perform under these Terms, protect it with at least reasonable care, and share it only with personnel and service providers who need it and are bound by similar obligations. This doesn’t cover information that is public through no breach, was already known, was received from a third party without restriction, or was independently developed. Either party may disclose Confidential Information when legally required, with notice where legally allowed.

14. Privacy, security, and data protection

Our Privacy Policy explains how we handle personal information. We maintain reasonable administrative, technical, and physical safeguards, including encryption in transit and application-layer encryption of ClickUp access tokens. If we learn of a breach affecting Customer Data, we’ll notify affected Organization owners without undue delay. Our Data Processing Addendum (“DPA”) forms part of these Terms where we process personal data on your behalf under laws such as the GDPR or UK GDPR. We list our subprocessors in our Privacy Policy and will give notice before adding new ones.

15. Publicity

We may identify you as a customer, including your name and logo, in customer lists and marketing materials. To opt out, email legal@zenpilot.com and we’ll stop using them in new materials within 30 days.

16. Suspension

We may suspend all or part of the Service if (a) you breach Section 8, (b) fees remain unpaid after the applicable grace period, (c) your use poses a security risk or could harm the Service or others, or (d) the law requires it. We’ll give notice where practical and restore access once the issue is resolved.

17. Term and termination

17.1 These Terms apply for as long as you use the Service. You can cancel a paid Plan (Section 9.3), stop using the Service, or delete your Organization (Section 6.6) at any time.

17.2 Either party may terminate for a material breach that isn’t cured within 15 days after written notice. We may terminate immediately for a breach of Section 8 or if the law requires it.

17.3 We may discontinue the Service with at least 60 days’ notice and will refund prepaid fees for the period after discontinuation. If we retire a Plan, we’ll give at least 60 days’ notice and offer you a comparable Plan at your next renewal; if you’d rather cancel, we’ll refund prepaid fees for the period after the retirement date.

17.4 We may delete a Free Plan Organization that has been inactive (no End User sign-ins and no syncs) for 12 consecutive months, after giving the owner 30 days’ notice.

17.5 When these Terms end, your right to use the Service ends. Unless you deleted the Organization yourself, you can request an export of the data you entered in the Service within 30 days after termination; after that, we may delete it.

17.6 Sections 6.3, 9 (for unpaid fees), 12, 13, and 17 through 23 survive termination.

18. DISCLAIMERS

Except as expressly stated in these Terms, the Service, including AI Features, Output, and beta features, is provided “as is” and “as available.” To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, title, and non-infringement. We don’t warrant that the Service will be uninterrupted or error-free, or that reports, insights, or Output will be accurate or complete.

19. LIMITATION OF LIABILITY

19.1 To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data, even if advised of their possibility.

19.2 Each party’s total liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the amounts you paid or owe for the Service in the 12 months before the event giving rise to the claim, or (b) US $100.

19.3 These limits don’t apply to your payment obligations, your indemnification obligations, or your breach of Section 8.

20. Indemnification

You’ll defend and indemnify ZenPilot and its affiliates, officers, employees, and contractors against third-party claims, and related losses, damages, and reasonable costs (including attorneys’ fees), arising from (a) Customer Data or a ClickUp Workspace you connected without authorization, (b) your or your End Users’ breach of Section 8, or (c) your violation of law. We’ll notify you promptly, cooperate reasonably at your expense, and let you control the defense, but you may not settle a claim in a way that imposes obligations on us without our consent.

21. Changes to these Terms

We may update these Terms. For material changes, we’ll notify you by email or in the app at least 30 days before they take effect, unless a faster change is legally required. If you don’t agree, you can cancel before the change takes effect and we’ll refund prepaid fees for the unused part of your current billing period. Otherwise, the updated Terms apply from their effective date. Non-material changes take effect when posted. Prior versions are available on request. During a fixed term under an Order Form, the Terms in effect when the Order Form was signed apply until the term renews, unless both parties agree otherwise or a change is legally required.

22. Governing law and disputes

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Pennsylvania, without regard to conflict of law rules, and are subject to the exclusive jurisdiction of the state courts located in Butler County, Pennsylvania, or the United States District Court for the Western District of Pennsylvania. Each party consents to personal jurisdiction there. EACH PARTY WAIVES ANY RIGHT TO A JURY TRIAL. Either party may seek injunctive relief in any competent court to protect its intellectual property or Confidential Information. The UN Convention on Contracts for the International Sale of Goods doesn’t apply.

23. General

  • Order of precedence: the DPA controls on data protection matters, unless an Order Form expressly states that it amends a specific section of the DPA; otherwise, an Order Form controls over these Terms, each only for the matters it covers.
  • Entire agreement: these Terms, any Order Form, the DPA, and the Privacy Policy are the entire agreement on this subject. These Terms don’t cover ZenPilot consulting or implementation services, which are governed by separate agreements.
  • Assignment: neither party may assign these Terms without the other’s consent, except to a successor in a merger, acquisition, or sale of substantially all related assets, with notice.
  • Force majeure: neither party is liable for delays caused by events beyond its reasonable control, including outages at hosting providers, ClickUp, or internet providers. This doesn’t apply to payment obligations.
  • Notices: we send notices to the Organization owner’s email or in the app. Send notices to us at legal@zenpilot.com. Electronic notices satisfy any written-notice requirement.
  • Other: if a provision is unenforceable, the rest stays in effect. Not enforcing a right isn’t a waiver. The parties are independent contractors, and there are no third-party beneficiaries. “Including” means “including without limitation.”
